BNKR Terms of Service

These Terms of Service form a binding agreement between you and BNKR and govern your access to and use of the BNKR website, application, and associated services. By creating an account, accessing a scenario, or otherwise using the service you agree to these Terms. If you are using the service on behalf of an institution, you represent that you are authorized to bind that institution. Where BNKR has signed a separate written engagement agreement with that institution, the engagement agreement controls in any conflict with these Terms.

You are responsible for maintaining the confidentiality of your sign-in credentials, for all activity that occurs under your account, for providing accurate institutional affiliation and contact information, and for promptly notifying BNKR of any suspected unauthorized access. Instructors and program administrators are additionally responsible for the rosters, scenarios, and grading data they configure inside the service.

You agree not to use the service for any unlawful, fraudulent, harassing, or infringing purpose; not to upload content that is unlawful, defamatory, discriminatory, or that infringes the rights of any third party; not to probe, scan, or test the vulnerability of the service except under written authorization from BNKR; not to circumvent security or access controls, rate limits, or audit logging; not to reverse engineer, decompile, or derive source code except where applicable law permits; not to scrape, mass-extract, or use automated means to harvest content (including AI-generated debrief language) for use outside the licensed engagement; and not to use the service to build a competing simulation product or to train a machine-learning model on BNKR-generated content or simulation telemetry.

BNKR is an educational simulation. The economic engine, scenarios, AI-written briefings, scoring outputs, and recommended decisions are produced for instructional purposes only. They are not financial advice, legal advice, regulatory guidance, credit decisions, supervisory determinations, accounting opinions, tax advice, or recommendations to take any real-world action. BNKR does not represent any specific real institution, borrower, regulator, or transaction. Players should not rely on the service to make actual lending, investment, capital, compliance, or governance decisions for a real bank or other institution.

The service, including the simulation engine, scenarios, curriculum library, glossary, debrief templates, and the BNKR name and marks, is owned by BNKR or its licensors. Subject to these Terms and any applicable engagement agreement, BNKR grants you a limited, non-exclusive, non-transferable, revocable license to use the service for its intended educational purpose. You retain ownership of content you submit (instructor-authored scenarios and rubrics, learner free-text reflections, support messages); you grant BNKR a worldwide royalty-free license to host, copy, transmit, display, and process that content as necessary to operate the service. BNKR does not use learner content to train third-party foundation models.

Public surfaces of the service (the marketing site, the Showroom guided tour, the public glossary and changelog) are free to use. Licensed editions, classroom, workshop, executive-education, in-house bank training, and team-play, are provided under a written engagement agreement that sets fees, seat counts, term, and renewal terms. Each party will protect the other party's non-public business, technical, and pricing information using at least the same care it uses for its own confidential information of similar kind.

EXCEPT AS EXPRESSLY STATED IN A WRITTEN ENGAGEMENT AGREEMENT, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." BNKR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT ANY SIMULATION OUTPUT WILL MATCH ANY REAL-WORLD OUTCOME.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BNKR AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. BNKR'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE EVENT, OR ONE HUNDRED U.S. DOLLARS IF NO AMOUNTS WERE PAID. NOTHING IN THESE TERMS EXCLUDES LIABILITY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.

You will defend, indemnify, and hold BNKR harmless from any third-party claim arising out of your breach of these Terms, your misuse of the service, or your violation of any law or third-party right in connection with your use of the service. BNKR may suspend or terminate access immediately for breach, security or legal risk, or as required by law. Provisions that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, indemnification, confidentiality, and dispute resolution, survive.

BNKR may update these Terms from time to time and will provide reasonable notice of material changes through the service or to the program contact for an institutional engagement. These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules; disputes that cannot be resolved through informal good-faith discussion within 30 days will be brought exclusively in the state or federal courts located in Delaware. Where an engagement agreement specifies a different forum, governing law, or arbitration mechanism, that engagement agreement controls.
